Please read these Terms & Conditions carefully before purchasing or using SyncXP. By completing a purchase or installing the software, you agree to be bound by these terms. If you do not agree, do not purchase or use the software.

1. Definitions

"SyncXP", "we", "us" — SyncXP, operated by the company registered at support@syncxp.co.uk.
"Software" — the SyncXP desktop application and any associated updates or documentation.
"Licence" — the perpetual, single-user, non-transferable right to use the Software granted upon purchase.
"Tokens" — AI scan credits used to power receipt scanning within the Software.
"You" — the individual or business entity that has purchased or installed the Software.

2. Licence Grant

Upon purchase of the Perpetual Licence, SyncXP grants you a personal, non-exclusive, non-transferable, perpetual licence to install and use the Software on a single device. You may not:

Copy, distribute, resell, or sublicense the Software to any third party.
Reverse engineer, decompile, or disassemble the Software.
Remove or alter any proprietary notices, labels, or branding within the Software.
Use the Software for any unlawful purpose.

3. AI Scan Tokens

The Perpetual Licence includes 1,200 AI scan tokens. Additional tokens may be purchased in packs of 1,200 for £10. Tokens are subject to the following conditions:

Tokens have no expiry date and do not expire.
Tokens are non-refundable once purchased.
One token is consumed per receipt scan, regardless of whether the scan result is accepted or discarded.
Tokens are tied to your registered account and cannot be transferred to another account.

4. Payment & Pricing

All payments are processed securely via PayPal. Prices are displayed exclusive of VAT where applicable. SyncXP reserves the right to amend pricing at any time; any price change will not affect purchases already completed. The SyncXP application will never request payment or financial details — all purchases are made exclusively through the SyncXP website.

5. Refund Policy

Due to the digital nature of the Software and the immediate delivery of the download link and tokens upon purchase, we are unable to offer refunds once the download has been accessed. If you experience a technical issue that prevents you from using the Software, please contact support@syncxp.co.uk and we will endeavour to resolve it. Refund requests due to technical faults will be assessed on a case-by-case basis.

6. Updates & Future Versions

Your licence entitles you to receive minor updates and bug fixes for the version of the Software you purchased. Major version upgrades (e.g. v1.x to v2.x) may be offered at a discounted upgrade price. Your existing version will always remain fully functional on current supported platforms, but SyncXP does not guarantee compatibility with future operating system versions.

7. Privacy & Data

Your expense data is stored locally on your device. Receipt images are transmitted securely to our AI engine for processing and are not retained on our servers once scanning is complete. We do not sell or share your personal data with third parties. For full details, please refer to our Privacy Policy.

8. Intellectual Property

The Software, including its design, code, branding, and documentation, is the intellectual property of SyncXP and is protected by copyright law. Nothing in these Terms transfers any intellectual property rights to you. All rights not expressly granted are reserved.

9. Disclaimer of Warranties

The Software is provided "as is" without warranty of any kind. SyncXP does not warrant that the Software will be uninterrupted, error-free, or that AI scanning will achieve any particular level of accuracy on all receipts. You are responsible for verifying the accuracy of extracted data before use in financial records or submissions.

10. Limitation of Liability

To the fullest extent permitted by law, SyncXP shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Software, including but not limited to errors in expense data, lost revenue, or failed tax submissions. Our total liability to you shall not exceed the amount paid by you for the Software licence.

11. Termination

SyncXP reserves the right to terminate your licence immediately and without notice if you breach any of these Terms. Upon termination, you must cease all use of the Software and delete all copies in your possession. Termination does not entitle you to a refund.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to These Terms

SyncXP may update these Terms from time to time. The date at the top of this page reflects the most recent revision. Continued use of the Software after changes are posted constitutes acceptance of the revised Terms.
